What to evaluate in a CLM for India

Five questions separate the shortlist quickly.

• Where will negotiation happen: in a browser editor, in desktop Word, or in Word Online? Ask to see a redline round-trip with tracked changes and numbered clauses intact.
• How are Indian signatures handled: Aadhaar OTP eSign, DSC tokens, virtual signatures, and e-stamping with duty paid, inside one flow or through add-ons?
• Which modules share the contract data: vendors, compliance obligations, documents, disputes, or only the contract itself?
• What is priced: users, contracts, modules or credits, and what do occasional approvers cost?
• Where is the data hosted, which certifications are current, and is customer data used to train shared models?

The legal basis for signing electronically in India

Electronic execution in India rests on the Information Technology Act, 2000. Section 3 recognises digital signatures based on asymmetric cryptography, which is what a DSC token provides. Section 3A, added by the 2008 amendment, recognises any electronic signature technique listed in the Act's Second Schedule; the Electronic Signature or Electronic Authentication Technique and Procedure Rules, 2015 added the Aadhaar e-KYC technique that Aadhaar eSign runs on. Section 5 gives these signatures the legal effect of a handwritten one. The First Schedule excludes some instruments from electronic execution, including negotiable instruments other than cheques, powers of attorney, trusts, wills and conveyances of immovable property, so those still need wet ink. Stamp duty is separate: it is levied under the Indian Stamp Act, 1899 and state stamp laws, and e-stamping is administered through StockHolding (SHCIL) as the central record-keeping agency, live in 26 states and union territories with online payment and self-print in 15 of them. A CLM that signs but cannot stamp leaves a manual step in the middle of every Indian contract.

Where negotiation happens matters more than the feature list

Every vendor on this page supports Microsoft Word in some form, but the form differs, and it decides whether your lawyers will use the system. Three patterns appear in the vendors' own documentation: a browser editor with Word as a fallback; a desktop Word add-in; and native .docx editing in Word Online and desktop Word. Browser editors are easiest to roll out but can struggle with long or heavily formatted documents, and some documentation says so plainly. Desktop add-ins keep lawyers in Word but tie them to installed Office. Native .docx editing keeps tracked changes, comments and numbering intact in both Word Online and desktop Word. Ask each vendor to show a third-party paper round-trip, not a template demo.

IntelloSync (IntelloContract)

IntelloContract is the contract module of the IntelloSync platform. Contracts are drafted from templates and negotiated as real .docx files in Word Online or desktop Word, with the Copilot add-in reviewing against your playbooks inside the Word pane. Approvals route by contract type, value and department. Execution supports Aadhaar OTP eSign, DSC token signing and virtual signatures, plus Zoho Sign, DocuSign and Adobe Sign for global counterparties, with digital e-stamping in the same flow. After signature, the repository extracts parties, dates and obligations and feeds renewals to a calendar with owners and alerts. The same repository, permission model and AI layer serve IntelloVault (documents), IntelloVendor (third-party risk), IntelloComply (regulatory and contractual obligations) and IntelloCase (litigation). Pricing is per module with unlimited users, with a 30-day free trial. IntelloSync is ISO/IEC 27001:2022 certified. It is a fit for Indian enterprises, NBFCs and listed companies that want contracts, vendors and compliance on one platform, lawyers who will not leave Word, and finance teams that prefer a per-module price without a seat count.

SpotDraft

SpotDraft (New York and Bengaluru, founded 2017) describes itself as an end-to-end contract automation platform for in-house legal teams. Its editor page documents a desktop Word round-trip that syncs edits back with formatting and comments, alongside an in-browser editor with simultaneous editing; Word Online is not mentioned. Native e-signature is included and marketed as unlimited, with DocuSign or Adobe Sign as alternatives, and a 30 September 2026 post says Aadhaar eSign is available through a Certifying Authority enabled by a customer success manager. DSC signing and e-stamping are not published. Pricing is quote-only, based on users or contract volume. SpotDraft publishes ISO 27001 and SOC 2 Type 2 reports and offers data regions including India. Review listings on 2 October 2026 showed G2 4.5 from 186 reviews, Capterra 4.8 from 26 and Gartner Peer Insights 4.5 from 64. A fit for in-house legal teams that want CLM alone with broad CRM and HR integrations.

Icertis

Icertis (Bellevue, Washington, founded 2009, with a Pune office) positions its contract intelligence platform at the Global Fortune 500, with 2,000+ employees and customers in 90+ countries. Its Word add-in is documented for Office 2016 and Microsoft 365 desktop on Windows and macOS, covering own and third-party paper, clause discovery and deviation approvals inside Word; Word Online is not mentioned. Icertis does not publish its own e-signature, Aadhaar eSign, DSC or e-stamping; signing runs through partners such as Adobe. Pricing is quote-only, with no pricing page. Its security framework lists ISO 27001, 27017 and 27018, SOC 2 and ITAR, hosted on Microsoft Azure. Listings on 2 October 2026: G2 4.2 from 85, Capterra 4.3 from 41, Gartner Peer Insights 4.7 from 207. A fit for very large global enterprises whose contracting is driven by SAP Ariba, Dynamics or Salesforce processes.

Zoho Contracts

Zoho Contracts (Chennai; product launched 7 July 2021) is the CLM inside the Zoho suite. Its default editor is Zoho Writer in the browser; to suggest edits in Word, Zoho's help centre says the counterparty needs the desktop application with Track Changes on, and an August 2026 release added a premium Word desktop integration. Zoho Sign is included at no extra cost and supports Aadhaar eSign through eMudhra at two credits per signature, and DSC tokens; e-stamping is available only through a Leegality integration on the Professional plan in the India data centre. Pricing is public: free for three users, then ₹1,500, ₹2,400 and ₹3,000 per user per month billed annually, with a 15-day trial. Zoho operates Mumbai and Chennai data centres. Listings on 2 October 2026: G2 4.6 from 14, Capterra 4.5 from 6; not listed on Gartner Peer Insights. A fit for smaller teams already standardised on Zoho CRM and Writer.

Ironclad

Ironclad (San Francisco, founded 2014) reports 2,000+ customers and passed $200 million in annual recurring revenue in February 2026. It offers the widest choice of editing surfaces: a browser editor that its help centre says is best for documents under 75 pages with eight web-safe fonts, plus a Word add-in with offline editing, Word Online and Google Docs. Ironclad Signature covers US and EU frameworks (ESIGN, UETA, ESRA, eIDAS SES and AES) and states that it may not support other jurisdictions; Aadhaar eSign, DSC and e-stamping are not published, and no India hosting region is listed (US Google Cloud with an EU instance). Pricing is quote-only. Listings on 2 October 2026: G2 4.4 from 324, Capterra 4.4 from 70, Gartner Peer Insights 4.7 from 287. A fit for US and EU companies that want a mature CLM with Salesforce, Slack and Coupa integrations.

Leegality

Leegality (Grey Swift Pvt Ltd, Gurugram; $5 million Series A in June 2026) is India's most complete execution layer rather than a full CLM. Its site lists 15+ eSign methods including Aadhaar eSign, DSC, OTP, biometric and WhatsApp signing, and BharatStamp e-stamping in 31 states and union territories through its own network and NeSL. Published Basic-plan pricing is ₹25 per Aadhaar signatory, ₹15 per other signatory and ₹45 per stamp paper plus duty. Its Deal Collaboration CLM adds a Word plug-in, repository, approvals, obligation tracking and AI clause review; template authoring, vendor, compliance-calendar and matter modules are not on the page, and CLM pricing is not published. Data stays on AWS India servers with ISO 27001:2022 and SOC 2 Type II. Listings on 2 October 2026: G2 4.5 from 2, Capterra 4.0 from 1. A fit for high-volume customer paperwork such as loan documentation; many teams pair it with a CLM for negotiated contracts.

How the field splits

Read together, the vendors' own pages sort into three groups.

• Global CLMs (Icertis, Ironclad): deep ERP and CRM integration, quote-only pricing, Word desktop add-ins or browser editors, no published Aadhaar eSign, DSC or e-stamping.
• India-aware CLMs (IntelloSync, SpotDraft, Zoho Contracts): Aadhaar eSign available; only IntelloSync publishes DSC, e-stamping and Word Online editing together, and only IntelloSync and Zoho publish an India-first pricing model (per module with unlimited users, and per user, respectively).
• Execution infrastructure (Leegality): the broadest Indian signing and stamping coverage, with a lighter CLM layer and per-use pricing.
