12. Limitation of Liability
12.1 Neither party's aggregate liability under this Agreement shall exceed two times the annual fees the fees paid in the twelve months preceding the claim.
12.2 The cap in Clause 12.1 shall not apply to a breach of Clause 9 (Confidentiality) or Clause 10 (Data Protection).
13. Term and Renewal
13.1 This Agreement renews for successive one-year terms unless either party gives ninety (90) days' written notice before the end of the then-current term.
